Mergers &  Acquisitions create great opportunities for Total Rewards professionals as companies look to merge benefits, compensation practices, and total rewards philosophies when combining company cultures.  In this session, we will be interviewing Laurie Coleman, current Director of Human Resources & Organizational Development for Spencer Fane LLP and Robb DeGraw, JD, Senior Vice President & National Director - Employee Benefits M&A.  Previously, Laurie was employed with DST during the acquisition of a number of companies, and the sale of a significant subsidiary. During this process, she was point person in Human Resources responsible for developing and executing DST's Mergers & Acquisitions playbook.  Robb has over 25 years of expereince helping companies with pre-planning, due diligence, preparing purchase agreements, and post acquisition integration. Robb's team consults on over 500 Mergers and Acquisition transactions annually. In a moderated Q&A session, both presenters will will share their detailed knowledge of internal issues,  risks to consider,  and suggestions to make from an HR perspecitve during the process -- ultimately resulting in a stronger company. You won't want to miss this educational and engaging session! 

Laurie serves as the Director of Human Resources and Organizational Development at the business law firm Spencer Fane LLP. Spencer Fane has over 400 attorneys and over 300 professional staff across 22 offices. Recently, Spencer Fane was recognized by the American Lawyer as the fastest growing in the AmLaw 200 over the past five years. The publication Law360 also ranked the firm among the top five in the nation for lawyer satisfaction.At Spencer Fane, Laurie oversees all aspects of the HR function including talent acquisition, employee relations, total rewards, payroll, organizational development, and employee programs. Prior to joining Spencer Fane in 2016, Laurie held HR and employee benefit leadership roles at DST Systems, Inc., HNTB, and Hallmark Cards.

Robb is a Senior Vice President and National Director of Alliant’s Employee Benefits M&A practice, specializing in the human capital aspects of merger and acquisition transactions. Robb is responsible for assisting financial sponsors and strategic buyers with all aspects of the employee benefit and HR issues involved in corporate transactions. These responsibilities include preacquisition planning, due diligence, preparing purchase agreements, and postacquisition integration work. Robb also provides strategies to help firms maximize the human capital spend across their portfolio.
